You are facing a meeting with a potential investor for your business, and you want to interest them in injecting funds that will allow the business to continue operating and perhaps even expand. Perhaps the meeting is with representatives of another company that wants to enter into a partnership with you. For example, to jointly produce a product or market a product you manufacture.<\/p>\r\n

You are deliberating. What should you tell them about the business? Which trade secrets should you reveal to them? What will happen if, in the end, the investment or cooperation deal doesn't materialize, after the other side has already conducted due diligence on your business and reviewed confidential and sensitive information.<\/p>\r\n

What will be the fate of that secret and sensitive information that you currently no longer control? Perhaps it will fall into the hands of your competitors?<\/p>\r\n

So what is an NDA?<\/h2>\r\n

Precisely to prevent these concerns, it is advisable to have meeting participants sign an NDA (Non-Disclosure Agreement). This is a legal document in which the party (or parties \u2013 sometimes it's a mutual document) commits to keep confidential any information exchanged between the parties during negotiations leading up to an agreement, or during the agreement itself.<\/p>\r\n

Although many view this document as a 'standard document' (meaning \u2013 one that can 'be found instantly online\"\u2026), it is very important to know that it is actually a complex document, which includes references to many important issues. Each of these, if not properly addressed in the document, could, God forbid, result in the signature on the NDA not serving its intended purpose, or, worse, bind the signatory in a way that will thwart their continued commercial activity.<\/p>\r\n
